Terms of Service

These Terms of Service ("Terms") govern your use of ShopShow ("Platform"), operated by Direct Commerce Pty Ltd ("we", "us", "our"), based in Perth, Western Australia. By using ShopShow, you agree to these Terms.

1. About ShopShow

ShopShow is a live shopping platform that enables Shopify store owners ("Sellers") to broadcast live video streams showcasing their products to viewers ("Buyers"). Purchases are processed through Shopify's checkout system. ShopShow facilitates the connection but is not a party to transactions between Sellers and Buyers.

2. Eligibility

• You must be at least 18 years old to use ShopShow
• Sellers must have an active Shopify store
• You must provide accurate information when creating an account
• You are responsible for maintaining the security of your account credentials

3. Seller Responsibilities

As a Seller on ShopShow, you agree to:

• Only sell products that are legal in Australia and your customers' jurisdictions
• Provide accurate product descriptions, pricing, and availability
• Comply with Australian Consumer Law, including consumer guarantees
• Handle all customer service, returns, and refunds through your Shopify store
• Not stream prohibited content (see Section 5)
• Maintain a valid Shopify store with active products

4. Buyer Responsibilities

As a Buyer on ShopShow, you agree to:

• Treat sellers and other viewers with respect in live chat
• Not engage in fraudulent purchases or chargebacks
• Direct purchase-related queries to the Seller's Shopify store

5. Prohibited Content

You must not broadcast, share, or promote:

• Illegal products or services
• Counterfeit or stolen goods
• Weapons, drugs, or controlled substances
• Adult or sexually explicit content
• Hate speech, harassment, or discrimination
• Misleading claims about products
• Content that infringes on intellectual property rights
• Spam, scams, or deceptive practices

We reserve the right to terminate streams and accounts that violate these rules without notice.

6. Intellectual Property

You retain ownership of content you create and broadcast on ShopShow. By using the platform, you grant us a limited, non-exclusive licence to display your content as part of the service (e.g., stream thumbnails, replays). We do not claim ownership of your products, brand, or creative content.

7. Pricing and Payments

ShopShow is currently in free beta. When paid plans launch:

• We charge a flat monthly subscription fee — no commission on your sales
• Pricing will be communicated in advance
• All prices are in Australian Dollars (AUD) unless stated otherwise
• Subscription fees are non-refundable for the current billing period

8. Transactions

All purchases made during live streams are processed through Shopify's checkout. ShopShow does not process payments, handle refunds, or hold customer payment information. Transaction disputes should be resolved between the Buyer and Seller through Shopify's systems.

9. Limitation of Liability

To the maximum extent permitted by Australian law:

• ShopShow is provided "as is" without warranties of any kind
• We are not liable for stream interruptions, technical issues, or data loss
• We are not responsible for the quality, safety, or legality of products sold by Sellers
• Our total liability is limited to the fees you paid us in the 12 months prior to the claim

Nothing in these Terms excludes or limits any consumer guarantees under the Australian Consumer Law that cannot be excluded.

10. Termination

You may stop using ShopShow at any time by uninstalling the app from your Shopify store. We may suspend or terminate your account if you violate these Terms. Upon termination, we will delete your data in accordance with our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of Western Australia, Australia. Any disputes will be resolved in the courts of Western Australia.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or through the platform at least 14 days before taking effect. Continued use after changes constitutes acceptance.
